1. Acceptance of Terms
By accessing or using the Sojot.ai website, mobile application, API, or any other software or services offered by Sojot.ai (collectively referred to as the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms apply to all users of the Service, including without limitation users who are browsers, customers, merchants, and/or contributors of content. If you disagree with any part of the terms then you may not access the Service. Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
2. Description of Service and Donation Model
Sojot.ai provides AI-powered journaling and research assistance services based on a donation model. The Service includes, but is not limited to, AI-assisted journal writing and editing, research assistance, information retrieval, journal sharing and collaboration features, and data storage and management. The Service is currently maintained and operated through user donations. While we strive to provide continuous and uninterrupted service, the availability and quality of the Service may be subject to the level of donations received. Users are encouraged to contribute donations to support the ongoing operation and improvement of the Service. It is important to note that while we refer to these contributions as "donations," they are effectively payments for the Service and are subject to the terms outlined in these conditions. The specific features and limitations of the Service depend on the donation tier chosen by the user, as detailed in Section 4 of these Terms. Sojot.ai reserves the right to modify, suspend, or discontinue any part of the Service at any time without notice or liability, particularly if donation levels are insufficient to maintain certain features or aspects of the Service.
3. User Accounts, Security, and Content Moderation
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than you without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene. Sojot.ai reserves the right to refuse service, terminate accounts, remove or edit content, or cancel donations in its sole discretion. This includes the right to ban users or block content that is deemed inappropriate, offensive, or in violation of these Terms. We maintain the right to audit and moderate all content submitted to or transmitted through the Service. If any content is found to be non-compliant with our standards or these Terms, we reserve the right to remove such content without notice. Users are expected to contribute content that is respectful, lawful, and in line with the intended use of the Service. Repeated violations of these content standards may result in account termination.
4. Donation Tiers and Service Access
Sojot.ai offers various donation tiers that correspond to different levels of service access and features. These tiers include Free, Personal, Pro, and AdminX plans. The Free plan is available to all users and provides basic access to the Service with limited features. The Personal and Pro plans offer enhanced features and capabilities, accessible through higher donation tiers. The AdminX plan is a customizable enterprise solution that can be tailored and deployed as per specific organizational requirements. By making a donation corresponding to a particular tier, users become eligible for the features and services associated with that tier. However, it is crucial to understand that these donations do not constitute a traditional subscription model. Sojot.ai reserves the right to modify the features available at each donation tier at any time, with or without notice. If a user ceases to make donations or if their donations fall below the minimum amount required for their current tier, Sojot.ai may, at its sole discretion, revert the user's account to the Free plan or a lower tier corresponding to their donation level. This reversion may occur without prior notice and may result in the loss of access to certain features or stored data. Users are encouraged to regularly review the current donation tiers and associated features to ensure they maintain access to desired Service capabilities. Sojot.ai is not responsible for any loss of data or functionality resulting from account reversion due to ceased or reduced donations.
5. Donations and Refunds
Donations to Sojot.ai are used to maintain and improve the Service. These donations are voluntary but are required to access certain features of the Service as described in the donation tier system. When you make a donation, you agree to pay the amount you have specified. Donations are processed immediately and are non-refundable. The donation amount and associated service tier are set at the time of donation and are subject to change. Sojot.ai reserves the right to modify, terminate, or otherwise change the donation tiers and associated features at any time without prior notice. By making a donation, you acknowledge that you are not paying for a subscription with a fixed term and fixed set of features. Instead, you are making a contribution to support the Service, with the understanding that you will receive access to certain features based on your donation level, but these features may change over time. In the event that Sojot.ai ceases operations or significantly changes its service offering, we are under no obligation to provide refunds for past donations. However, we will make reasonable efforts to provide advance notice of any major changes to the Service or its operational status. Users who set up recurring donations may cancel these at any time, but no refunds will be provided for donations already processed. If you believe that an error has occurred in the processing of your donation, please contact our support team immediately. While we do not generally offer refunds, we will investigate any reported errors and may, at our sole discretion, provide a refund or service credit in cases of demonstrable error on our part.
6. Intellectual Property and Data Usage
The Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Sojot.ai and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Sojot.ai. By using the Service and providing Content, you grant Sojot.ai a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Content in any and all media or distribution methods (now known or later developed) for the purpose of providing and improving the Service. This license extends to the use of the Content for training and improving our AI models. You agree that this license includes the right for Sojot.ai to make your Content available to other users of the Service, subject to the privacy settings you choose for your content. You represent and warrant that you have all rights necessary to grant these rights to Sojot.ai and that none of your Content violates any third party rights, including without limitation any Intellectual Property Rights, rights of privacy, or rights of personality. Sojot.ai reserves the right to monitor and analyze user behavior and Content to improve the Service, develop new products, and for other business purposes. This may include using aggregated and anonymized data derived from user Content and interactions with the Service. By using the Service, you consent to such use of your data. However, Sojot.ai will not sell or share individual user data with third parties without explicit consent, except as required by law or as necessary to provide the Service.
7. Limitation of Liability and Disclaimer
In no event shall Sojot.ai, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance. Sojot.ai, its subsidiaries, affiliates, and its licensors do not warrant that a) the Service will function uninterrupted, secure or available at any particular time or location; b) any errors or defects will be corrected; c) the Service is free of viruses or other harmful components; or d) the results of using the Service will meet your requirements. This disclaimer of warranty extends to the quality, accuracy, and reliability of the AI-generated content provided through the Service. While we strive to provide high-quality AI assistance, we cannot guarantee that the AI-generated content will be error-free, complete, or suitable for any particular purpose. Users are advised to review and verify any AI-generated content before relying on it for any purpose.
8. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules for arbitration of consumer-related disputes, and you and Sojot.ai hereby expressly waive trial by jury. You and Sojot.ai agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. Notwithstanding the foregoing, you agree that Sojot.ai may bring suit in court to enjoin infringement or other misuse of intellectual property or other proprietary rights. To the extent arbitration is prohibited by law, you agree that any claims or disputes shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.
9. Modifications to the Service and Terms
Sojot.ai reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Sojot.ai shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service. The donation-based nature of our Service means that features, availability, and access levels may change based on overall donation levels and operational requirements. We will strive to communicate any significant changes, but users should be aware that the Service is subject to evolution and change over time.
10. Termination and Account Deletion
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. This includes the right to terminate or suspend access based on lack of donations or violation of community standards. If you wish to terminate your account, you may simply discontinue using the Service and request account deletion through our provided channels. Upon receipt of an account deletion request, we will process the request within a reasonable timeframe, usually within 30 days. During this period, your account will be deactivated and inaccessible. Please note that some information may remain in our records after account deletion, as outlined in our Privacy Policy. We may also retain certain data if necessary for legitimate business purposes or as required by law. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. Upon termination, your right to use the Service will immediately cease. If you are using a paid tier of the Service through donations and your account is terminated for violation of these Terms, you will not be entitled to any refund of donations made. However, if you choose to terminate your account voluntarily, access to paid features will generally continue until the end of the current donation period, unless otherwise stated.
